What I do

I advise on business and share acquisition arrangements, advising on everything form small domestic transactions, to substantial international cross-border transactions.
I advise on joint venture arrangements and joint venture structuring issues. I have substantial experience advising in relation to joint venture companies, contractual joint ventures and LLP arrangements.
I advise on private equity investments, for investors, investee companies and for management.
I advise companies seeking admission to AIM, AIM listed companies and for AIM NOMADs and brokers. I also advise on corporate governance issues both for full list and AIM companies.

Some examples

I have recently advised on a number of acquisitions for IMS Group plc on acquisitions in the UK, Turkey and Romania. I have also recently advised multiple sellers in a domestic healthcare business as part of a management buyout.
I advised Cross Atlantic Capital Partners on multiple investments in software company, Tao Media Group, and co-ordinated a series of investments for them. I also advised on a complex joint venture for Aureos Capital Partners.
I advised WH Ireland PLC and Cornhill Asset Management Limited on a private placing arrangement in relation to a Montenegrin privatisation, Canaccord Adams Limited as NOMAD and broker on the IPO and fundraising for Sierra Leone Diamond Company, the reverse takeover of Handmade Films, secondary fundraisings by 121 Media Inc., Gaming Corporation PLC and Sierra Leone Diamond Company Limited. I advised Mwana Africa PLC on a reverse takeover, re-admission to AIM and subsequent fundraisings and various corporate governance matters.
I have recently advised Smiths News plc on changes to their articles of association required in light of the Companies Act 2006.
