We have extensive experience in advising companies, shareholders, directors and partners on a variety of contentious matters. These matters often involve us in High Court proceedings and increasingly in resolving disputes by way of alternative dispute resolution, including mediation and arbitration, as well as seeking injunctive relief for freezing and search orders and specific performance. Areas of advice we specialise in include:
- advising shareholders in bringing and defending unfair prejudice petitions in the High Court under s994 Companies Act 2006 (and under the previous provisions of s459 Companies Act 1985) and on other applications to enforce shareholder rights under company legislation
- advising directors on their duties, on disputes with other directors and in bringing and defending High Court proceedings for, amongst other things, breach of fiduciary duty, misfeasance, for the repayment of dividends
- advising directors on claims brought against them by third parties, including insolvency practitioners and under the Company Directors Disqualification Act
- advising on Companies Court applications in relation to a variety of matters including schemes of arrangement and reductions of capital
- advising partners in relation to partnership disputes, including their rights under the Partnership Act 1890 and/or their partnership agreement and partnership dissolution
