Our team of specialists provides expert corporate and corporate finance advice to public and private companies and consortia, small and medium enterprises, owner managed businesses and entrepreneurs, as well as institutional investors and finance providers.

We assist our corporate clients through a range of transactions, including complex cross-border mergers, acquisitions and joint ventures and we support them in their day-to-day business operations covering the “full life” of a company from formation and funding through expansion to shareholder “exit”.

We regularly advise companies, shareholders and company officers on major transactions such as public and private company acquisitions, disposals, fund raising (both debt and equity), joint ventures and shareholder arrangements, restructuring and corporate recovery and flotations in the UK and other European markets. We also advise on corporate governance, directors' duties and powers and best practice on the part of directors. We assist in company administrative and compliance matters for private and public companies supporting our clients in all aspects of their corporate activities.

We are on the panel of legal advisers for Investbx, the first virtual trading platform of its kind in Britain. Investbx is an online share trading portal designed for smaller companies in the West Midlands and is intended to promote investment in these companies by the trading of shares. We are currently advising an innovative security systems company in relation to their application to and fundraising on the Investbx trading platform, and have been put forward by Investbx to advise a number of other potential applicants.

Advising an MBO team on its successful contested takeover of an Official List computer software company, Trace Group Plc.

· Advising an AIM client on a series of major cross-border acquisitions and joint ventures in emerging markets such as Russia, Hungary, Romania, India and the Czech Republic, as well as in Greece and Sweden;

· Advising an AIM client on its takeover of listed Swedish company and subsequent listing of the enlarged group on Nordic OMX market;

· Advising a multinational mining group on joint venture arrangements in the UK; and

· Advising an MBO team on a private-equity backed buy-out of a leading domiciliary health services provider.
